Terms of Use

Este documento está disponível apenas em inglês.

1. Acceptance, eligibility and changes

These Terms of Use (the “Terms”) are a contract between you and Cooka (“Cooka”, “we”, “us”) governing your use of the Cooka application, website and related services (the “Service”). By creating an account, ticking the acceptance box, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Anyone may use the Service; there is no minimum age. If you are below the age at which you can enter into a binding contract where you live, you may use the Service only with the consent and supervision of a parent or legal guardian, who accepts these Terms on your behalf and is responsible for your use of the Service.

We may update these Terms. When we make a material change we will publish the new version, change its version date, and ask you to accept it again before you continue using the Service. Continuing to use the Service after accepting the new version means you are bound by it.

2. What the Service is

Cooka lets you and the people in your “kitchen” (your household or group) save, organise, plan and cook recipes, and build shopping lists. You can add a recipe by pasting a link (a web page or a YouTube video), uploading a photo, typing free text, or writing it yourself. When you do, you instruct us to read the material you provide or point us to, and an artificial-intelligence system structures it into a recipe, in the languages you choose.

Cooka is a neutral tool and host. We do not select, review, verify or endorse the sources you point us to or the recipes you save, and we do not verify who owns the rights to them. You decide what to add and are responsible for it, as described below.

3. Your content

“User Content” means everything you submit to or create in the Service: recipes and their text, ingredients, steps, notes, tags, photos and images you upload, links, books (collections), plans and shopping lists, and the AI-structured versions of material you provided. User Content does not include Marketplace Content (see section 10).

You keep whatever ownership you have in your User Content. We do not claim ownership of third-party works that you add; we only receive the rights described in section 4, which you can grant only to the extent you have them.

4. Licence you give Cooka

To operate, improve and grow the Service, you grant Cooka a worldwide, non-exclusive, royalty-free, perpetual and (to the fullest extent permitted by law) irrevocable licence, which we may sublicense and transfer, to use your User Content. This licence expressly covers the following uses, in any media and by any technology, now known or later developed:

  • hosting, storing, copying and reproducing it, including backups;
  • analysing, restructuring, summarising, translating, localising and otherwise adapting it, including with AI, and creating derivative works from it;
  • displaying and making it available to you, to members of your kitchen, and to anyone you choose to share it with through the sharing features;
  • including it in features, products and services of Cooka, present or future, including public or curated collections and promotional material, in which case we may credit it to the kitchen or user that added it;
  • creating aggregated or de-identified datasets from it, and using it to develop, test, train and improve the Service and our AI-assisted features and models; and
  • enforcing these Terms and complying with law.

This licence continues after you delete the User Content or your account to the extent that (a) other users saved a copy through a sharing feature, which then becomes their own independent copy; (b) it is held in routine backups for a limited time; or (c) it was already incorporated into aggregated or de-identified data or into improvements to the Service. Personal data is handled as described in the Privacy Policy.

To the extent permitted by law, you waive, or agree not to assert, any moral rights against Cooka and its users in relation to these uses. The territory of this licence is the whole world and its term is for as long as the underlying rights last, to the extent permitted where you live; where local law limits the duration or scope of such licences, the licence applies to the maximum extent allowed.

5. Third-party sources and your promises

Recipes often come from books, websites, videos and social networks that belong to other people. When you add a recipe from a source, you promise that:

  • you have the right to add and use that material in the Service, or a lawful basis such as the permission of its owner or an applicable legal exception, and you will use it only for lawful purposes;
  • you will respect paywalls, subscription and login barriers, robots.txt files, technical protection measures, and the terms of use of the sites and platforms you point us to, and you will not use the Service to access, copy or republish content you are not allowed to access;
  • where a site or platform does not allow automated or AI reading, you will not try to get around that restriction; if you hold the right to use the content, you may instead type or paste it yourself or upload a photo of it;
  • you will not upload photos, images or text that you do not own or are not licensed to use; and
  • you will keep, and will not remove, the link to the original source that the Service stores with the recipe, and will credit the original author where the law or the source requires it.

When you give us a link, we retrieve the page or video information only because you asked us to, on your behalf. We may decline to retrieve, or may stop retrieving, content from sources that have opted out of being read, that are protected, or that we reasonably believe you are not entitled to use.

The structured recipe the Service produces is generated by AI from the material you provide. It is not reviewed by us and may be inaccurate, incomplete or similar to other works. We make no promise that it is original or does not infringe anyone’s rights. Cover images generated for your recipes are AI-generated illustrations; as between you and Cooka, you may use them within the Service and for your personal use.

For YouTube videos we store and show the link (and may embed the video through YouTube’s own player). The video, its description and transcript remain the property of their owners and are subject to YouTube’s terms.

6. Sharing and copies

Everything in your kitchen — recipes, books, plans and shopping lists — is visible to and editable by the other members of your kitchen. Anyone you invite to your kitchen becomes a member. Choose carefully whom you invite.

You can create a share link for a recipe or a book. Anyone who has the link and a Cooka account can view it and save a copy. Share links do not expire and cannot be revoked individually; to stop further copies, delete the recipe or book. A copy that another user has already saved remains available to them, and if you delete the original recipe, copies already made by others are kept as independent recipes in their kitchens, including the stored link to the original source. Do not share anything you do not want others to keep.

You are responsible for what you share. Do not share, or invite others to share, content you do not have the right to share.

7. Acceptable use

You may not, and may not help others to:

  • add, share or distribute content that infringes copyright, trademark, privacy or other rights of anyone, or that is unlawful, defamatory, hateful or harmful;
  • use the Service to bulk-copy, republish or sell third-party content, or to build a competing database or service;
  • bypass paywalls, access controls, rate limits or technical protection measures, or use automated means to access the Service other than through the interfaces we provide;
  • attempt to gain unauthorised access to the Service or other users’ data, or interfere with its operation;
  • use AI features to produce content that violates these Terms or the law, or to try to extract our prompts or models; or
  • resell, sublicense or commercially exploit the Service or content from the Marketplace except as expressly allowed.

8. Copyright and IP complaints

We respect intellectual property rights. If you believe that content in the Service infringes your rights, send a notice to legal.support@cooka.app with: (a) your name and contact details; (b) a description of the work you say is infringed; (c) the location of the allegedly infringing content (for example the recipe link or share link); (d) a statement that you have a good-faith belief that the use is not authorised by the owner, its agent or the law; (e) a statement, under penalty of perjury or the equivalent under applicable law, that the information is accurate and that you are the owner or authorised to act for the owner; and (f) your signature, which may be electronic.

On receiving a valid notice we may remove or disable the content, disable share links to it, notify the user who added it, and take any other step we consider appropriate. The user may send a counter-notice to legal.support@cooka.app explaining why they believe the content was removed by mistake or that they are authorised to use it, and we may restore the content if the complainant does not pursue the matter in court within a reasonable time. We may terminate the accounts of users who repeatedly infringe the rights of others.

We act on notices in line with applicable law, including Brazilian copyright law (Lei 9.610/1998) and Marco Civil da Internet (Lei 12.965/2014), the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512) and Article 16 of the EU Digital Services Act. Sending a notice does not limit your other rights. Knowingly false notices may expose the sender to liability.

We have no general duty to monitor User Content and we may, but are not obliged to, remove content or suspend accounts that we believe violate these Terms or the law.

9. Cooka’s intellectual property

The Service — including its software, design, user interface, text, graphics, the Cooka name, logo and marks, and our prompts, models configuration and compilations — belongs to Cooka or its licensors and is protected by law. Except for the limited right to use the Service as offered, no rights are granted to you. You may not copy, modify, reverse engineer or create derivative works of the Service, except as law permits.

If you send us suggestions or feedback, we may use them freely without obligation or compensation to you.

10. Creator marketplace (reserved)

We may in the future operate a marketplace where creators can publish recipe books and other content (“Marketplace Content”) for others to buy or use, with Cooka retaining a fee. Marketplace Content is different from User Content: it remains the property of its creator, is not covered by the licence in section 4, and Cooka’s rights in it are only those the creator grants under separate creator terms.

If you buy or access Marketplace Content, you receive a limited, personal, non-transferable licence to use it inside the Service for your own household. You may not copy, share, republish or redistribute it, including through the sharing features, unless the creator’s terms expressly allow it. Specific fees, payouts, payment terms and creator obligations will be set out in separate terms (“Creator Terms”) that apply when you take part in the marketplace.

11. Third-party services

The Service relies on third-party providers (for example cloud hosting, database and authentication, AI processing, analytics, Google sign-in and YouTube). Their own terms and privacy practices apply to what they do, and some of your content is processed by them on our behalf as described in the Privacy Policy. We are not responsible for third-party services or for sites you link to.

12. Food safety, allergies and nutrition

Recipes, ingredient substitutions, cooking times, timers, conversions and nutrition information in the Service are informational. AI-generated content and estimates (including nutrition values and recipes inferred from a photo of a dish) can be wrong. Always check ingredients and labels, cook food safely, and consult a qualified professional for medical, dietary or allergy needs. Cooka is not responsible for any harm arising from food prepared using the Service.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation. Nothing in these Terms excludes warranties or rights that cannot be excluded under mandatory consumer law.

14. Limitation of liability

To the maximum extent permitted by law, Cooka and its owners, personnel and licensors are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from or related to the Service or these Terms. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and BRL 100 (or the equivalent in your currency).

These limits do not apply to liability that cannot be limited by law, including liability for intent or gross negligence and the mandatory rights of consumers.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless Cooka and its owners, personnel and licensors from claims, damages, losses and expenses (including reasonable legal fees) arising out of (a) your User Content or the sources you point us to, including any claim that they infringe someone’s rights; (b) your breach of these Terms or the law; or (c) your use of the Service by anyone using your account.

16. Suspension, termination and deleting your account

You can stop using the Service at any time. To delete your account and personal data, email legal.support@cooka.app from the address of the account; we will confirm and act within the period required by law. Deleting your account does not undo the effects described in sections 4 and 6.

We may suspend or terminate your access, remove content, or disable share links at any time if we reasonably believe that you violated these Terms or the law, that your use creates risk or legal exposure for us or others, or if we receive a valid IP complaint. Sections that by their nature should survive termination (including 3 to 9, 11 to 15 and 17 to 18) survive.

17. Governing law and disputes

These Terms are governed by the laws of Brazil, without regard to conflict-of-law rules. If you are a consumer, disputes may be brought in the courts of your place of residence, as Brazilian consumer law provides. For anyone else, the courts of Brazil have exclusive jurisdiction, subject to any mandatory rules.

If you use the Service from outside Brazil, you remain entitled to the mandatory consumer-protection rules of the country where you live, and nothing in these Terms limits them. We will first try to resolve any dispute in good faith through the contact address below.

18. General

These Terms and the Privacy Policy are the entire agreement between you and Cooka about the Service. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. We may assign these Terms in connection with a reorganisation, merger or sale; you may not assign them without our consent.

These Terms are provided in English. Translations of the interface or of any summary are for convenience only, and the English version prevails to the extent permitted by law.
